Hotel Partner Terms

These terms govern hotel-side use of Refuje guest-experience, concierge, QR-linked, and stay-related communication flows. They complement our Terms & Conditions and Privacy Policy.

Hotel Partner Terms

These Hotel Partner Terms apply to each hotel, property, owner, operator, manager, staff member, contractor, or authorized representative that uses Refuje, permits Refuje to create or operate guest-facing property pages, or allows Refuje to distribute QR codes, guest-access links, concierge journeys, communications, marketplace discovery, or related services for the property.

These Hotel Partner Terms supplement Refuje's Terms & Conditions, Privacy Policy, Activity Marketplace Terms, Provider Marketplace Terms, and any separate written commercial arrangement between Refuje and the hotel.

1. Parties And Relationship

The hotel and Refuje are independent contracting parties.

Nothing in these Hotel Partner Terms creates an employment relationship, agency, franchise, joint venture, partnership, fiduciary relationship, or exclusive arrangement unless expressly set out in a separate written agreement.

The hotel remains responsible for its premises, staff, property operations, guest interactions, legal compliance, and services provided directly or indirectly through the property.

2. Refuje's Role

Refuje may create, publish, operate, host, and update online property pages, guest-facing digital concierge flows, stay tabs, QR-linked pages, access links, and pre-arrival or stay-related guest communications for the hotel.

Refuje may also create and use property content, activity discovery content, search-facing pages, structured data, SEO content, AEO content, social previews, analytics, attribution, support records, and operational records connected with the hotel or property.

Unless expressly agreed in writing, Refuje does not become the hotel's employee, property manager, legal representative, travel agent for all purposes, or guarantor of the hotel's operations.

3. Hotel Authority And Representations

The hotel represents that it has authority to enter into these Hotel Partner Terms, authorize Refuje-powered guest experiences, share property and guest data where applicable, and allow Refuje to publish or operate relevant guest-facing flows.

The person accepting or signing these Hotel Partner Terms represents that they are authorized to bind the hotel or property.

The hotel will comply with applicable laws, licences, PMS-vendor restrictions, privacy obligations, tax obligations, consumer obligations, and internal approvals relevant to its use of Refuje.

4. Property Content And Publishing Approval

The hotel authorizes Refuje to create, curate, format, edit, publish, reproduce, display, distribute, and update guest-facing property content for Refuje-powered pages, QR-linked experiences, concierge journeys, or related communications.

The hotel represents that it owns, controls, or has obtained all rights, licences, permissions, and consents needed for content supplied to or approved for Refuje.

The hotel remains responsible for notifying Refuje if property content becomes inaccurate, outdated, unauthorized, non-compliant, misleading, unsafe, or unsuitable for continued publication.

Refuje may refuse, modify, unpublish, restrict, or remove content that Refuje reasonably believes is inaccurate, infringing, unsafe, unlawful, misleading, unauthorized, or inconsistent with Refuje's standards or legal obligations.

5. Guest Data, PMS Data, And Limited Data Use

The hotel may share, or authorize Refuje to access, guest personal data and stay-related information for limited operational purposes connected with the hotel's Refuje-powered services.

This may include guest names, phone numbers, WhatsApp numbers, stay dates, room or booking identifiers, guest-service status, communication status, and limited stay-related details reasonably required for guest communication, concierge support, attribution, audit, reconciliation, fraud prevention, legal compliance, or service delivery.

The hotel is the source of any guest, booking, PMS, stay, room, contact, or service data provided to Refuje. The hotel represents that it has all required authority, notices, consents, contractual permissions, PMS permissions, and lawful bases required to disclose such data to Refuje and to authorize Refuje to use it for the applicable guest-experience, pre-arrival, concierge, support, audit, reconciliation, fraud-prevention, and legal-compliance purposes.

For hotel-instructed guest communication and concierge flows, Refuje will use hotel-supplied guest data only for the limited purposes described in these Hotel Partner Terms, the Privacy Policy, and any applicable written arrangement. For Refuje's own legal, security, audit, marketplace, support, analytics, fraud-prevention, and claim-defense records, Refuje may retain and process relevant records as an independent responsible party to the extent permitted by applicable law.

The hotel must not provide Refuje with guest data that it is not authorized to share. The hotel remains responsible for any claim, complaint, regulatory notice, PMS-vendor objection, or guest dispute arising from unauthorized, inaccurate, excessive, or unlawful disclosure of hotel-supplied data to Refuje.

6. Pre-Arrival And Guest Communications

Where enabled, the hotel authorizes Refuje to send pre-arrival and stay-related guest communications, including through WhatsApp, SMS, email, or similar channels, for service-related purposes.

Such communications may include welcome information, property QR codes, guest-access links, concierge links, stay-related support, guest-service reminders, activity discovery, and communications reasonably necessary to support the Refuje-powered hotel experience.

The hotel remains responsible for ensuring that its sharing of guest data with Refuje for these communications is properly authorized and lawful.

7. QR Codes, Access Links, And Distribution Control

Refuje-generated QR codes, guest-access links, stay-tab links, concierge links, tracking links, and related digital access materials may be used by the hotel only for the approved property, approved guest journey, and approved placement or communication channel.

The hotel must not copy, modify, rebrand, redirect, replace, resell, sublicense, publicly post, or combine Refuje QR codes or access links with unauthorized payment links, third-party forms, misleading offers, or non-approved services without Refuje's prior written approval.

The hotel must promptly remove or replace QR codes or access links if Refuje requests this for security, accuracy, operational, legal, or brand-protection reasons. On termination or suspension, the hotel must stop displaying and distributing Refuje QR codes, links, and access materials unless Refuje confirms otherwise in writing.

8. Hotel Responsibilities And Staff Conduct

The hotel remains responsible for its premises, staff, systems, operations, guest safety, property-level compliance, staff representations, hotel-level guest data handling, and services provided through or alongside Refuje.

The hotel is responsible for the acts, omissions, instructions, representations, data handling, link sharing, guest communications, and payment-related conduct of its owners, managers, employees, contractors, agents, front desk staff, reservations staff, sales staff, concierge staff, and any other person acting for or from the property.

Hotel personnel must not use Refuje guest data, QR codes, access links, dashboards, content, provider contacts, or guest enquiries for personal solicitation, unauthorized marketing, side deals, misleading offers, harassment, fraud, or any purpose outside the approved Refuje-powered hotel experience.

The hotel must maintain reasonable internal controls over staff access to Refuje materials and guest data, promptly disable access for departing or unauthorized staff, and notify Refuje without undue delay, and where possible within 24 hours, of any suspected misuse, unauthorized disclosure, compromised QR code, compromised link, guest complaint, payment irregularity, or data-security incident connected with Refuje.

9. Marketplace And Third-Party Activity Flows

Where Refuje enables discovery of Independent Activity Providers through a hotel guest-experience flow, Refuje may provide discovery, content display, enquiry routing, attribution, support, and reconciliation records.

Unless Refuje expressly states otherwise in writing, Refuje is not the operator of the provider's activity and the hotel is not authorized to represent that Refuje guarantees provider performance, safety, availability, pricing, refunds, permits, insurance, or operational delivery.

The Independent Activity Provider remains responsible for operating the activity, provider staff, safety management, permits, guest suitability, equipment, transport arranged by the provider, and activity-specific legal compliance.

The hotel remains responsible for any property-level role it chooses to perform, including how the activity is described by hotel staff, any hotel recommendation, concierge assistance, transport arranged by the hotel, offline payment collected by the hotel, guest handoff, complaint handling, or representation made at the property.

Nothing makes the hotel the operator of an Independent Activity Provider's activity unless the hotel undertakes, sells, bundles, collects for, represents, controls, or delivers that activity or a material part of that guest experience.

10. Offline Collections, Taxes, Invoices, And Reconciliation

If the hotel collects any amount offline or directly from a guest in connection with a hotel service, provider activity, concierge request, Refuje-routed enquiry, or Refuje-discovered offering, the hotel is responsible for the lawful collection, receipt, accounting, tax treatment, GST or other tax compliance, invoice or receipt issuance, refund handling, cash/card/UPI handling, chargeback response, and reconciliation of that amount, unless a separate written agreement expressly states that Refuje is the merchant of record for that transaction.

The hotel must not state or imply that Refuje has collected, invoiced, guaranteed, refunded, or become liable for an offline payment collected by the hotel unless Refuje has expressly agreed in writing.

The hotel must maintain accurate payment and reconciliation records for offline collections connected with Refuje-routed guests or enquiries and must provide reasonable supporting records to Refuje where needed for guest support, dispute handling, commission reconciliation, fraud prevention, tax review, or legal defense.

11. Intellectual Property And Refuje Materials

Refuje retains all rights, title, and interest in the Refuje brand, platform, software, workflows, tools, page structures, systems, QR flows, access-link flows, and Refuje-created or Refuje-owned platform elements.

Refuje grants the hotel a limited, revocable, non-exclusive, non-transferable permission to display Refuje-approved QR codes, links, names, logos, and guest-facing materials solely for the approved property and approved Refuje-powered guest experience.

The hotel must not use Refuje's name, logo, screenshots, content, page designs, workflows, QR codes, access links, guest data, provider data, or marketplace materials for unrelated marketing, paid advertisements, public claims, white-labelled products, competing systems, social media promotions, third-party sales decks, or press/publicity without Refuje's prior written approval.

By accepting these Hotel Partner Terms or authorizing Refuje to launch, publish, operate, distribute, or market the property's Refuje-powered guest experience, the hotel gives Refuje ongoing authorization to create, edit, format, summarize, structure, publish, distribute, index, and update property pages and guest-experience content connected with the hotel or property.

This authorization includes QR-linked flows, concierge content, local recommendations, stay-tab content, search-facing pages, SEO content, AEO content, structured data, marketplace discovery, hotel-linked discovery, social previews, promotional snippets, and other lawful discovery or distribution surfaces connected with Refuje.

This authorization applies to content supplied, approved, confirmed, or made publicly available by or on behalf of the hotel, operational information reasonably provided or confirmed during onboarding or property operations, and Refuje-created property or guest-experience content based on such information.

The hotel is responsible for ensuring that all property, amenity, service, guest-experience, local recommendation, and hotel-related information supplied, approved, confirmed, or made publicly available by or on behalf of the hotel is accurate, complete, lawful, non-misleading, properly authorized, rights-cleared, non-infringing, safe, and compliant with applicable consumer, tax, permit, safety, privacy, and other legal requirements.

This responsibility applies even where Refuje creates, edits, formats, summarizes, translates, structures, tags, publishes, indexes, or displays property pages, guest-experience content, QR-linked flows, concierge content, local recommendations, stay-tab content, search-facing snippets, amenities, property claims, service claims, images, descriptions, availability information, or other hotel-related content based on hotel-supplied, hotel-approved, publicly available, or operationally confirmed information.

The hotel is responsible for regularly monitoring its property pages, public pages, QR-linked flows, concierge content, guest-experience content, search-facing snippets, amenities, property claims, service claims, local recommendations, images, descriptions, and other Refuje-powered content, and must promptly notify Refuje of any unauthorized, inaccurate, outdated, unsafe, misleading, infringing, unlawful, privacy-impacting, or otherwise non-compliant content.

Unless the hotel gives Refuje specific written notice of an inaccuracy, rights issue, or required correction, Refuje may continue to publish, distribute, index, update, and use the hotel's property and guest-experience content under this authorization.

Refuje must not knowingly create materially false or misleading claims about the hotel or property.

12. Suspension, Takedown, And Removal Rights

Refuje may suspend, pause, limit, modify, or terminate all or part of the hotel's Refuje-powered experience, or remove content, if Refuje reasonably believes that content is inaccurate, guest data is being misused, the hotel is in breach, there is safety/legal/regulatory/reputational concern, or the hotel's use of Refuje exposes Refuje to unacceptable operational or legal risk.

Refuje may take urgent action with or without prior notice where reasonably required for safety, legal, data, operational, guest-protection, or brand-protection reasons.

13. Disclaimer Of Operational Guarantees

Refuje provides its platform and related services on an "as available" and "as is" basis, subject to applicable law.

Refuje does not guarantee uninterrupted platform access, message delivery success across third-party channels, guest conversion, booking outcomes, revenue results, provider performance, hotel staff performance, or absence of third-party service interruptions.

Nothing in these Hotel Partner Terms limits any liability or right that cannot legally be limited or excluded under applicable law.

14. Limitation Of Liability

To the maximum extent permitted by law, Refuje will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of goodwill, loss of business opportunity, loss of data, third-party failures, hotel-side operational failures, provider-side failures, or payment collection failures by third parties arising from or related to the hotel's use of Refuje.

Where Refuje's liability cannot lawfully be excluded, Refuje's aggregate liability arising out of or in connection with these Hotel Partner Terms will be limited to the amount actually paid by the hotel to Refuje for the relevant service in the 12 months preceding the claim, or such other amount as may be specified in a separate written agreement.

Nothing in these Hotel Partner Terms limits any liability or right that cannot legally be limited or excluded under applicable law. Any liability cap or exclusion applies only to the extent permitted by applicable law.

15. Indemnity

The hotel will indemnify and hold harmless Refuje, its directors, officers, employees, contractors, affiliates, and representatives from claims, complaints, demands, liabilities, penalties, losses, damages, costs, expenses, reasonable attorney fees, investigation costs, and enforcement costs arising from or related to:

  • the hotel's operations, staff, property, guest interactions, or property-level services;
  • inaccurate, misleading, unauthorized, unsafe, unlawful, or infringing content supplied, approved, or used on the hotel's behalf;
  • unauthorized, unlawful, inaccurate, excessive, or non-compliant sharing of guest personal data with Refuje;
  • misuse, unauthorized disclosure, breach, or non-compliant processing of guest personal data by the hotel or its personnel;
  • unauthorized use, copying, modification, replacement, or misuse of Refuje QR codes, access links, dashboards, brand assets, workflows, or guest-facing materials;
  • unauthorized staff conduct, side deals, guest solicitation, misleading representations, fraud, harassment, or misuse of Refuje-routed guests or enquiries;
  • offline payments, tax treatment, GST, invoices, receipts, refunds, chargebacks, commissions, reconciliation, or cash/card/UPI handling controlled by the hotel;
  • PMS access, PMS-vendor restrictions, guest-data sharing, inadequate guest notices, consent failures, data breaches, or privacy complaints caused by the hotel or its personnel;
  • property-level safety, guest injury, operational failure, transport, concierge handoff, or activity support controlled or represented by the hotel;
  • violation of law, regulation, privacy obligations, tax obligations, consumer obligations, or third-party rights by the hotel;
  • breach of these Hotel Partner Terms or any applicable commercial arrangement.

The hotel's indemnity obligations apply whether the relevant act or omission is by the hotel directly or by its owners, managers, staff, contractors, agents, or other property personnel.

16. Acceptance, Authority, And Legal Proof

Refuje may require the hotel to accept these Hotel Partner Terms through an online acceptance flow, eSign flow, offline signed proof, email confirmation, dashboard approval, or other written method approved by Refuje.

The hotel agrees that Refuje may retain acceptance evidence including the term key, version, body hash, signer name, designation, authority representation, hotel/property reference, timestamp, IP address, user-agent, signed PDF, uploaded proof, admin notes, and related audit records.

If a person accepts or approves these Hotel Partner Terms for the hotel, the hotel represents that such person has actual or apparent authority to bind the hotel. If the hotel believes an acceptance was unauthorized, it must notify Refuje before launch or continued use; continued operation of the Refuje-powered hotel experience after notice of these Hotel Partner Terms will be treated as ratification to the extent permitted by law.

17. Term, Suspension, Termination, And Exit Process

These Hotel Partner Terms apply from the earlier of:

  • the hotel's acceptance of these Hotel Partner Terms;
  • the hotel's authorization for Refuje to launch, publish, or operate the property's Refuje-powered experience;
  • the hotel's continued use of Refuje after being notified that these Hotel Partner Terms apply.

Either party may terminate the relationship by giving at least 7 calendar days' written notice to the other party, subject to any separate written agreement.

If the hotel initiates termination, the hotel must send the termination notice to myrefuje@gmail.com unless Refuje has expressly designated another notice address in writing. Refuje may send termination notice to the hotel's registered, onboarding, dashboard, or last known official email, WhatsApp, or contact channel.

Unless a dispute, fraud concern, unresolved guest issue, tax issue, legal hold, or reconciliation mismatch reasonably requires withholding or delayed closure, the parties should complete full and final settlement of all undisputed amounts, commissions, refunds, payment items, reconciliation items, and property-level dues connected with the Refuje-powered hotel relationship within the same 7 calendar day notice period.

Refuje may suspend, pause, restrict, or terminate the hotel's Refuje-powered experience immediately, with or without prior notice, where Refuje reasonably believes that urgent action is required for legal, safety, guest-protection, data-security, payment, fraud-prevention, brand-protection, operational, or marketplace-integrity reasons.

Where the issue is not urgent, Refuje may provide notice to the hotel and may allow a reasonable opportunity to cure the issue. Refuje is not required to provide a cure period where the breach is serious, repeated, unresolved, involves guest data misuse, safety risk, unauthorized payment collection, misleading guest communication, unauthorized use of Refuje materials, or exposes Refuje to unacceptable legal, financial, reputational, or operational risk.

On suspension, expiry, or termination, the hotel must promptly:

  • stop using Refuje QR codes, guest-access links, dashboards, brand assets, content, workflows, legal documents, communication templates, and guest-facing materials;
  • remove or replace property displays, printed materials, digital links, staff scripts, posters, stickers, table tents, room collateral, WhatsApp templates, website references, and social media references that mention or use Refuje;
  • stop representing that the property has an active Refuje-powered guest experience unless Refuje confirms otherwise in writing;
  • stop using Refuje-sourced guest data except where retention is lawfully required for a completed guest-service, accounting, legal, audit, dispute, or compliance purpose;
  • return, delete, disable, or securely archive Refuje materials and guest data as reasonably requested by Refuje and permitted by law;
  • cooperate with Refuje to close open guest enquiries, support issues, payment disputes, reconciliation items, legal proofs, or guest complaints connected with the Refuje-powered hotel experience.

Termination does not affect rights or obligations that accrued before termination, including payment, reconciliation, confidentiality, data-protection, IP, indemnity, limitation-of-liability, audit, record-retention, dispute, enforcement, and claim-defense obligations.

Refuje may retain records reasonably required for legal compliance, guest support, complaint handling, payment or commission reconciliation, fraud prevention, tax review, regulatory response, audit integrity, enforcement, and defense of claims, including term versions, body hashes, acceptance evidence, communications, enquiry records, QR/access logs, support records, payment/reconciliation records, takedown records, and incident records.

18. Governing Law And Jurisdiction

These Hotel Partner Terms shall be governed by the laws of India.

Subject to mandatory legal requirements and any forum that cannot lawfully be excluded, the courts at Shimla, Himachal Pradesh, India shall have jurisdiction over disputes arising out of or relating to these Hotel Partner Terms.

19. Updates To These Terms

Refuje may update these Hotel Partner Terms from time to time to reflect changes in law, operations, products, risk posture, data obligations, marketplace structure, or partner workflows.

Where material changes are made, Refuje may notify the hotel through the website, dashboard, email, WhatsApp, or another reasonable communication channel.

Continued use of Refuje after such updates may constitute acceptance of the revised terms to the extent permitted by law.
